KMG International (previously named The Rompetrol Group) entered into a definitive agreement regarding the transfer of the entire package of shares of SC Ecomaster Servicii Ecologice SRL to the Romanian owned company SC Oil Depol Service SRL.
 
“This transaction is part of the Group’s long term strategy, which considers an extensive plan of investments in the core business areas – refinery, having as main asset the Petromidia Refinery, trading activities in the basins of the Mediterranean and the Black Sea, as well as retail, with a chain of gas stations in 6 European countries. The Group also owns non-core assets in the fields of environmental services, industrial services (valves, plastic pipes production). Our current strategy endorsed by the sole shareholder, KazMunayGas, also considers the reorganization and optimization of all non-core activities”, declares Azamat Zhangulov, Senior Vice-President of KMG International.
 
The decision to sell Ecomaster was taken on May 30, 2014, when the General Assembly of Shareholders of Ecomaster Servicii Ecologice S.R.L approved in principle the transfer of all shares to SC Oil Depol Service SRL. Before the transaction the company’s capital was controlled by Rompetrol Financial Group (99,63%) and Rompetrol Rafinare, Rompetrol SA, Rompetrol Well Services (each with 0,12% in shares).
 
Ecomaster Servicii Ecologice SRL is specialized in providing integrated environment solutions for industrial waste. The company has a tradition of 13 years in the collection, treatment and disposal of hazardous waste. The investments made by the company over the years have aimed at developing  own waste treatment technologies and, especially, integrated solutions for waste treatment. In 2010, the company constructed the ecological industrial park with a planned capacity of 240,000 cm, Ecopark, in Ariceştii Rahtivani - Prahova, offering complete industrial collection, treatment and waste disposal services, performed in accordance with all applicable domestic and international laws for prevention and protection of both the local population and the environment. 
 
Oil Depol Sevice SRL, headquartered in Constanţa county, was founded in 1998 having as object of activity decontamination services. The financial adviser to Oil Depol was BAC | Investment Banking, a regional investment banking group with offices in Bucharest, Sofia, Belgrade and Minsk.  Mirus Group was their tax and legal adviser.  
The financial advisor to KMG International in this transaction was Unicredit Țiriac Bank.
